Ticket Purchase Terms and Conditions

1. Agreement to These Terms

These Ticket Purchase Terms and Conditions (“Terms”) form a binding agreement between you (“you,” “Attendee,” or “Purchaser”) and Leaf & Arrow, LLC, a Michigan limited liability company (“Leaf & Arrow,” “we,” “us,” or “our”).

By purchasing a ticket, registering for an Event, or attending an Event, you accept these Terms. If you do not agree, do not purchase a ticket.

If you purchase tickets on behalf of another person or an organization, you represent that you have authority to accept these Terms on their behalf, and you agree to provide these Terms to each Attendee before the Event.

2. Definitions

“Event” means any presentation, workshop, seminar, class, or similar program offered by Leaf & Arrow, delivered virtually.

“Event Page” means the listing, registration page, or description for a specific Event, including its date, time, duration, price, named Presenter, and any Event-specific terms.

“Presenter” means the individual or entity engaged by Leaf & Arrow to deliver an Event.

“Materials” means slides, handouts, worksheets, exercise files, recordings, and any other content provided in connection with an Event.

“Recording” means any audio, video, or audiovisual capture of an Event.

3. Who You Are Contracting With

Your contract is with Leaf & Arrow.

Leaf & Arrow sells the ticket, collects payment, and is responsible to you for delivery of the Event and for any refund owed under these Terms. Leaf & Arrow appears as the merchant of record on your payment card statement.

Events are delivered by Presenters engaged by Leaf & Arrow. The Presenter is not a party to this agreement. Leaf & Arrow is not acting as the Presenter’s agent for purposes of your ticket purchase, and you have no contractual claim against the Presenter arising from your ticket.

4. Presenters, Substitution, and Presenter Cancellation

Where an Event Page names a Presenter, we make reasonable efforts to deliver the Event with that Presenter. A named Presenter is not guaranteed.

If a named Presenter becomes unavailable, we may, at our election:

  • Substitute a comparably qualified Presenter and proceed as scheduled
  • Reschedule the Event to a later date
  • Cancel the Event

We will notify you at your registered email address as soon as practicable.

Your rights on substitution or reschedule: if we substitute a Presenter or reschedule, you may cancel and receive a full refund by notifying us within 7 days of our notice, or before the Event begins, whichever is earlier. If we cancel, Section 11 applies. Where your ticket forms part of a series pass, membership, or subscription, Section 17 governs instead.

Our liability for Presenter unavailability is limited to the remedies in this Section and Section 20. We are not responsible for other costs you incur.

5. Presenter Content

Views, opinions, statements, recommendations, and materials presented by a Presenter are those of the Presenter. They do not necessarily reflect the positions of Leaf & Arrow, and are not endorsed, verified, or adopted by us.

Presenters are independent contractors, not employees or agents of Leaf & Arrow. We do not control the manner or method by which a Presenter delivers an Event.

Event content is educational and informational. It is not professional, legal, medical, financial, or other specialized advice, and you should not rely on it as such. Where an Event addresses a subject on which you need advice specific to your circumstances, consult a qualified professional.

6. Eligibility and Account Accuracy

You must be at least 18 years old to purchase a ticket. If you are under 18, a parent or legal guardian must complete the purchase and accept these Terms on your behalf.

You agree to provide accurate and complete registration information, including a valid email address. Access instructions are delivered by email. We are not responsible for missed Events resulting from an incorrect email address, a full inbox, or delivery to a spam or filtered folder.

Tickets are issued to the named Attendee and are personal to that Attendee. Tickets may not be resold, transferred, or shared without our prior written consent. Access credentials may not be shared with any person who has not purchased a ticket.

7. Ticket Purchase, Pricing, and Payment

All prices are stated in United States dollars unless the Event Page states otherwise.

Payment is processed by Stripe. By purchasing, you agree to Stripe’s applicable terms. We do not store your full payment card details.

A purchase is not complete until payment is authorized and you receive a confirmation email. We reserve the right to decline or cancel any order, including for suspected fraud, pricing errors, or capacity limits. If we cancel an order after payment, we will issue a full refund.

Where an Event has limited capacity, tickets are sold on a first-paid basis. Adding a ticket to a cart does not reserve it.

If an Event is listed at an incorrect price due to a typographical or technical error, we may cancel the order and issue a full refund. We are not obligated to honor an erroneous price.

8. Taxes

Prices may be exclusive of applicable sales, use, or similar taxes. Any such taxes will be calculated and displayed at checkout and added to your total. You are responsible for any taxes imposed on your purchase.

9. Access, Delivery, and Technical Requirements

Events are delivered via Zoom.

You will receive a join link, and where applicable a meeting ID and passcode, by email at the address provided at registration. Access instructions are typically sent within 24 hours of purchase, and again within 24 hours before the Event begins.

Join links are unique to your registration and may not be forwarded or shared. We may terminate access for any session where credential sharing is detected, without refund.

If you do not receive access instructions at least 2 hours before the Event start time, contact us immediately at info@leaf-arrow.com. We cannot resolve access problems reported after an Event has concluded.

You are responsible for your own equipment, software, and internet connection. Minimum requirements:

  • A device capable of running current Zoom client software
  • A stable broadband internet connection sufficient for two-way video
  • A working camera, if the Event includes interactive components
  • Any Event-specific software listed on the Event Page

We recommend using the Zoom desktop or mobile application rather than a browser, and testing your setup in advance.

Because Events are delivered in American Sign Language, sustained video quality is essential. A connection that cannot support clear two-way video will materially affect your ability to participate.

We are not responsible for your inability to attend or participate due to your own equipment, software, network, or location restrictions. No refund is provided for these circumstances.

Zoom is a third-party service we do not control. We are not responsible for Zoom outages, degradations, or service changes. If an Event cannot proceed due to a platform failure or a Zoom outage, Section 11 applies.

10. Refunds and Cancellation by You

Requests must be submitted in writing to info@leaf-arrow.com. The date and time we receive your request governs.

Account credit may be applied to any future Leaf & Arrow Event. Credit is non-transferable, has no cash value, and expires 12 months from issuance.

Refunds are issued to the original payment method and typically post within 5–10 business days, depending on your card issuer.

Non-attendance without a cancellation request does not entitle you to a refund or credit.

Where the Event Page states a different refund policy for a specific Event, the Event Page controls for that Event.

Refunds are paid by Leaf & Arrow. You do not need to seek a refund from the Presenter, and any arrangement between Leaf & Arrow and a Presenter regarding revenue does not affect your rights under this Section.

11. Changes, Rescheduling, and Cancellation by Us

We may modify an Event’s agenda, content, or duration without notice, provided the Event remains substantially as described. Presenter changes are governed by Section 4.

If we reschedule an Event, we will notify you at the registered email address. You may transfer your ticket to the new date, or request a full refund within 14 days of the notice.

If we cancel an Event, you will receive a full refund to the original payment method. You may elect account credit instead.

If an Event is materially disrupted by a technical failure and cannot be completed, we will offer, at our election, a reschedule, access to a Recording of the same Event when it is next delivered, account credit, or a refund. Where the disruption occurs partway through and the remainder is delivered at a later date, access to that later session satisfies this Section.

Our total liability for any change, reschedule, cancellation, or disruption is limited as set out in Section 20. We are not responsible for any other costs you incur, including time off work, third-party service fees, or connectivity costs.

12. Recording by Leaf & Arrow – Your Consent

Events may be recorded. Where an Event will be recorded, this will be disclosed on the Event Page and announced at the start of the session.

By attending a recorded Event, you consent to being recorded and you grant Leaf & Arrow a perpetual, worldwide, royalty-free, irrevocable, sublicensable license to record, reproduce, edit, distribute, publicly display, and publicly perform your likeness, image, hands, signing, voice, name, and chat contributions as captured during the Event, in any media now known or later developed, for purposes including educational distribution, archival use, and promotion.

Please read this carefully. Because Events are conducted in American Sign Language, a Recording captures your face, hands, and signing. In an ASL context this is inherently identifying, and it cannot be anonymized the way an audio recording can be.

Your options if you do not wish to be recorded:

  • Keep your camera off for the entire session. You may still view the presentation and participate through chat.
  • Refrain from posting in chat, or use the private message function to the host only.
  • Do not use the raise-hand or interactive features that place you on screen.
  • Contact us at info@leaf-arrow.com before the Event to discuss participation options.

Attendees who keep cameras off and do not post publicly in chat will not appear in the Recording.

We do not compensate Attendees for appearing in Recordings. You waive any right to inspect or approve any Recording or its use.

Other Attendees may see you. Depending on the Event format, other Attendees may be able to see and hear you during the session. We cannot control what other Attendees do, though Section 13 prohibits their recording.

This consent applies only to material captured during the Event. It does not grant any right to your likeness outside that material.

13. No Recording or Redistribution by Attendees

You may not record, screen-capture, photograph, stream, transcribe for distribution, or otherwise reproduce any part of an Event, by any means, without our prior written consent.

You may not redistribute, publish, post, sell, or share any Recording, Materials, or Event content, in whole or in part.

Recording an Event captures the Presenter and other Attendees, including their signing and likeness. Unauthorized recording is a violation of these Terms and may violate the privacy and publicity rights of the Presenter and other Attendees under the laws of their jurisdiction. Some states require the consent of all parties to a recording.

Violation may result in immediate removal without refund, exclusion from future Events, and legal action.

14. Accessibility

Leaf & Arrow delivers Events in American Sign Language.

Additional access services – including spoken-language interpretation, CART or live captioning, or other accommodations – may be available on request.

Submit accessibility requests to info@leaf-arrow.com at least 14 days before the Event. Requests received with less notice will be considered, but we cannot guarantee we can fulfill them.

We will respond to every timely request and will work with you to identify a workable accommodation. We will confirm what we can provide before the Event. If we cannot provide an accommodation that allows you to participate meaningfully, you may cancel for a full refund regardless of the timing in Section 10.

Nothing in this Section limits any right you have under the Americans with Disabilities Act or other applicable law.

15. Code of Conduct

Attendees are expected to conduct themselves professionally and respectfully.

The following are prohibited:

  • Harassment, discrimination, threats, or abusive conduct toward any Attendee, Presenter, interpreter, or staff member
  • Disruptive behavior that interferes with the Event
  • Sharing access credentials or admitting unregistered persons
  • Recording or capture in violation of Section 13
  • Displaying or transmitting offensive, unlawful, or sexually explicit content
  • Impersonating another person
  • Contacting a Presenter for commercial solicitation arising from the Event
  • Any unlawful activity

We may remove any Attendee who violates this Section, at our sole discretion, without refund and without prior warning. We may exclude that person from future Events.

16. Intellectual Property

All Materials, Recordings, and Event content are owned by Leaf & Arrow or its licensors, including Presenters, and are protected by copyright and other intellectual property laws.

Upon full payment, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Materials for your own personal, non-commercial, educational use only.

You may not:

  • Reproduce, distribute, or publish Materials
  • Create derivative works from Materials
  • Use Materials to train, fine-tune, or develop any machine learning model or artificial intelligence system
  • Use Materials for any commercial purpose, including teaching or presenting the content to others
  • Remove any copyright or attribution notice

This license terminates automatically if you violate these Terms.

Where a Recording is made available to Attendees, access is provided for a limited period stated on the Event Page or in the access notice, and is subject to the same restrictions.

17. Series Passes, Subscriptions, and Recurring Billing

Where offered, series passes, memberships, or subscription products are subject to these Terms and to any additional terms disclosed at the point of purchase.

For any recurring-billing product, we will disclose before you complete your purchase: the billing amount, the billing frequency, the renewal date, the cancellation method, and any deadline for cancelling before the next charge. Your affirmative consent to those terms is required before the first charge.

You may cancel at any time through the customer billing portal linked in your purchase confirmation and renewal notices, or by emailing info@leaf-arrow.com. Cancellation takes effect at the end of the current billing period. Unless otherwise stated, fees already paid for the current period are not refundable, and you retain access through the end of that period.

Where a series pass covers multiple Events, the refund provisions in Section 10 apply to the pass as a whole based on the first Event date, unless the Event Page states otherwise. A Presenter change affecting one Event in a series does not entitle you to a refund of the full pass.

18. Privacy

Your personal information is handled in accordance with our Privacy Policy at https://leaf-arrow.com/privacy-policy, which is incorporated into these Terms by reference.

We may share your name and registration details with a Presenter to the extent necessary to deliver the Event.

Zoom and Stripe process data under their own privacy policies, which we do not control.

19. Disclaimer of Warranties

EVENTS, MATERIALS, AND RECORDINGS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that any Event will be uninterrupted or error-free, that any particular result, outcome, credential, certification, or employment benefit will follow from attendance, that any Presenter statement is accurate or complete, or that content will be suitable for your particular circumstances.

20. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO AN EVENT, YOUR TICKET, OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE TICKET GIVING RISE TO THE CLAIM.

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

We are not liable for the acts or omissions of any Presenter beyond our obligations under Sections 4, 10, and 11.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

Nothing in these Terms limits liability for fraud, willful misconduct, or any liability that cannot be limited under applicable law.

21. Indemnification

You agree to indemnify, defend, and hold harmless Leaf & Arrow, LLC and its members, managers, officers, employees, contractors, Presenters, and agents from any claim, demand, loss, liability, damage, cost, or expense, including reasonable attorneys’ fees, arising out of your breach of these Terms, your unauthorized recording or redistribution of Event content, your violation of another Attendee’s or a Presenter’s rights, or your violation of any law.

22. Payment Disputes and Chargebacks

If you have a problem with a purchase, contact us first at info@leaf-arrow.com. We will make a good-faith effort to resolve it.

Initiating a chargeback without first contacting us is a breach of these Terms. If a chargeback is resolved in our favor, you agree to reimburse our reasonable costs, including any processor fees. We may suspend your access to Events and Materials while a chargeback is pending, and may decline future sales to you.

This Section does not limit any right you have under applicable law or your card issuer’s rules.

23. Governing Law and Venue

These Terms are governed by the laws of the State of Michigan, without regard to its conflict of laws principles.

You agree that any action arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Ingham County, Michigan, and you consent to personal jurisdiction and venue in those courts.

If you are a consumer residing outside Michigan, nothing in this Section deprives you of the protection of mandatory consumer-protection provisions of the law of your place of residence.

24. Changes to These Terms

We may modify these Terms at any time. The version in effect at the time of your purchase governs that purchase. Changes apply to purchases made after the updated Effective Date. Continued use of our services after an update constitutes acceptance of the revised Terms.

25. Force Majeure

We are not liable for any failure or delay caused by circumstances beyond our reasonable control, including natural disaster, fire, flood, epidemic, war, civil unrest, government action, labor dispute, power failure, internet or telecommunications failure, failure of a third-party platform, or the sudden unavailability of a Presenter. In such cases we will substitute, reschedule, or refund in accordance with Sections 4 and 11.

26. General

Entire Agreement. These Terms, together with the applicable Event Page and our Privacy Policy, constitute the entire agreement between you and Leaf & Arrow regarding your ticket purchase, and supersede all prior communications on that subject.

Order of Precedence. If these Terms conflict with an Event Page, the Event Page controls for that Event.

No Third-Party Beneficiaries. Except that Presenters are intended beneficiaries of Sections 13, 15, 16, and 21, these Terms create no rights in any third party.

Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions remain in full effect.

No Waiver. Our failure to enforce any provision is not a waiver of that provision.

Assignment. You may not assign these Terms or transfer a ticket without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Survival. Sections 12, 13, 16, and 19 through 26 survive completion of an Event and any termination of these Terms.

Headings. Headings are for convenience only and do not affect interpretation.
